This End-User Licence Agreement (the "Agreement") is between you and Dmitry Samartsev, a sole trader established in the United Kingdom ("we", "us"), the developer of Git Cherry Tree (the "Software"). By downloading, installing or using the Software you agree to this Agreement. If you do not agree, do not use the Software.

1.1 The free version

The Software is available as a fully-featured free version at no cost. The free version is the complete application: every feature, no account, no time limit. A licence is not required to use it. A licence adds in-app automatic updates and supports continued development; it does not unlock features.

1.2 Licence grant

Subject to your compliance with this Agreement and payment of the applicable fee, we grant you a perpetual, worldwide, non-exclusive, non-transferable licence to install and use the Software, including for commercial purposes. "Perpetual" means the licence to use the versions you are entitled to does not expire; it does not by itself include future builds released after your update window ends.

Two licence types are offered:

• Individual licence. Issued to one named person, not to an organisation. That person may install and use the Software on the devices they personally use, provided they are the sole user of each installation. An individual licence may be purchased by, and used at, a workplace, but it remains tied to the named person, not to their employer, and may not be shared between people.
• Business licence. Issued to a legal entity (a "Business") for a specified number of seats. Each seat entitles one individual within the Business to use the Software with the same rights as an individual licensee. The Business is responsible for assigning seats to individuals and ensuring the number of concurrent users does not exceed the seats purchased. A seat may be reassigned to a different individual when its previous holder no longer uses the Software (for example, leaves the Business).

1.3 Updates

A licence includes in-app automatic updates for the duration of the update window stated at the time of purchase. When the update window ends, you keep the right to use the most recent build released within it; newer builds require renewing or extending the licence. To check for updates and to validate a licence, the Software contacts our servers (see the Privacy Policy below).

1.4 Restrictions

You may not:

• share, resell, rent, lease, sublicense, or distribute your licence key or the Software to others;
• use the Software beyond the number of seats, devices or users your licence permits;
• reverse-engineer, decompile or disassemble the Software, except to the extent this restriction is prohibited by applicable law (including, where applicable, for interoperability under EU/UK law);
• remove or alter any proprietary notices, or circumvent licensing or update mechanisms;
• use the Software in violation of applicable export-control or sanctions laws.

1.5 Ownership

The Software is licensed, not sold. We and our licensors retain all right, title and interest in and to the Software, including all intellectual-property rights. You receive only the rights expressly granted here.

1.6 Disclaimer of warranties

The software is provided "as is" and "as available", without warranty of any kind. To the maximum extent permitted by law, we disclaim all warranties, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the software will be uninterrupted, error-free, or that it will meet your requirements.

1.7 Limitation of liability

To the maximum extent permitted by law, in no event will we be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, data, or goodwill, arising out of or relating to the software. Our total liability for any claim relating to the software will not exceed the amount you paid for the licence.

Nothing in this Agreement limits liability that cannot be limited under applicable law (for example, for death or personal injury caused by negligence, fraud, or your non-waivable statutory consumer rights).

1.8 Termination

This licence terminates automatically if you breach it. On termination you must stop using the licensed features and delete licence keys. Sections 1.5-1.7 and 1.9 survive termination. You may keep using the free version subject to this Agreement.

1.9 Governing law & changes

This Agreement is governed by the laws of England and Wales, without regard to its conflict-of-laws rules, and subject to any mandatory consumer-protection law of your country of residence. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect. We may update this Agreement; the version in effect when you obtained your licence continues to govern that licence, and continued use after changes constitutes acceptance for the free version. This policy explains what personal data we handle and why. The data controller is Dmitry Samartsev (a sole trader established in the United Kingdom), contactable at contact@gitcherrytree.com. We keep data collection to the minimum needed to run the product.

2.1 What we collect, and why

• Newsletter signup. If you subscribe, we collect your email address to send product updates. Legal basis: your consent. You can unsubscribe at any time via the link in any email. Your email is stored with our email provider (currently Kit, formerly ConvertKit), acting as our processor; we do not store newsletter emails on our own servers.
• Licence validation. When you paste a licence key on this site or the app checks your licence, we send the key to our payment provider, Polar, to confirm it is valid. We process the key and your connection's IP address to perform validation and deliver the build you are entitled to. Legal basis: performance of our contract with you and our legitimate interest in preventing misuse. We do not store your licence key on our servers; your browser may remember it locally so you don't have to re-paste it.
• Automatic updates. The app contacts our servers to check for new builds. This processes your IP address and basic technical details (such as app and platform version). Legal basis: our legitimate interest in delivering updates and keeping the software secure.
• Purchases. Payments are handled by Polar as Merchant of Record. Polar collects the billing and tax information needed to complete your purchase and is the controller for that transaction data under its own privacy policy. We receive order and licence details, not your full card data.
• Hosting & aggregate metrics. The site and downloads are served by Cloudflare, which processes connection data (including IP addresses) to deliver and protect the service. We keep anonymous, aggregate download counters that are not linked to individuals.

2.2 Processors we use

• Polar: payments & licence validation (Merchant of Record).
• Kit (ConvertKit): newsletter delivery.
• Cloudflare: website hosting, CDN and build storage.

These providers may process data outside the UK and EEA. Where they do, the transfer is covered by appropriate safeguards (such as Standard Contractual Clauses or an adequacy decision).

2.3 Retention

We keep newsletter data until you unsubscribe. Purchase and licence records are retained by Polar as needed to provide the service and meet tax/accounting obligations. Server logs are retained only briefly for security and troubleshooting.

2.4 Your rights

Depending on where you live, you may have the right to access, correct, delete, or export your personal data, to withdraw consent, and to object to certain processing. To exercise any of these, email contact@gitcherrytree.com. If you are in the EEA or UK, you also have the right to lodge a complaint with your local data-protection authority. We do not sell your personal data.

2.5 Cookies

This site does not use advertising or cross-site tracking cookies. We use only what's needed for the site to function, and your browser's local storage to remember your licence key on the download page for your convenience.

Because the full application is free to try before you buy, we want every purchase to be one you're happy with. If a licence isn't right for you, email contact@gitcherrytree.com within 14 days of purchase and we'll refund it in full.

Refunds are issued through Polar, our Merchant of Record, and are returned to your original payment method. Polar may also handle refund and chargeback requests under its own buyer terms. Statutory rights you have as a consumer (for example, an EU/UK right of withdrawal for digital purchases) are not affected by this policy.

Git Cherry Tree is built with open-source software, and we're grateful to the people who make it. These components are distributed under their own licences (such as MIT, BSD and Apache-2.0), and those licences govern their use. Each download includes a THIRD-PARTY-NOTICES.txt file that lists these components and reproduces their licence texts, as those licences require. A small number of older builds predate this file; for those, the same information is available on request at contact@gitcherrytree.com.

Nothing in our licence agreement restricts any rights you have under those open-source licences with respect to their respective components.
